As Chair of the firm’s Transactional & Corporate Tax Group, Ms. Frascino’s practice focuses on tax planning and complex transactions, often involving multinational corporations and their subsidiaries, private equity interests, lenders, and special purpose entities associated with project finance. She also assists many international clients with both fund formation and direct investment in Brazil. In addition, because the complexity of Brazil’s tax laws often makes tax planning a question of business strategy for many companies, Ms. Frascino works closely with manufacturers, importers, agribusiness, natural resource extractors, and other large enterprises doing business in Brazil.
In advising clients on transactions, Ms. Frascino also works with the firm’s Corporate & Capital Markets Group and its Financial Institutions Group in structuring: mergers, acquisitions, securitizations of investment funds, reorganizations and debt restructurings, joint ventures, secured transactions, international lending and other finance agreements, as well as securities offerings and private placements in Brazil and abroad. Ms. Frascino also counsels clients on double taxation treaties and estate planning matters.
While attending Harvard Law School, Ms. Frascino studied American law relating to her Brazilian practice. In addition, Ms. Frascino has lived in the United Kingdom and attended English language schools in Brazil.
